1. Identification of the Service Provider

2. Scope and Acceptance

These Terms and Conditions ("Terms") govern all services provided by WebsiteHub.io to business clients ("Client") worldwide. By purchasing any service, signing a proposal, or making any payment to WebsiteHub.io, the Client acknowledges having read, understood and accepted these Terms in their entirety.

These Terms apply exclusively to business-to-business (B2B) transactions. WebsiteHub.io does not provide services to consumers as defined under French consumer protection law (Code de la consommation).

WebsiteHub.io reserves the right to update these Terms at any time. The version in force at the time of purchase governs the contractual relationship.

3. Services Description

WebsiteHub.io provides outbound lead generation and go-to-market engineering services including but not limited to:

  • Outbound infrastructure setup: Domain configuration, email account creation, DNS record management, email warm-up processes
  • ICP research and lead list building: Identification of ideal customer profiles, signal-based prospect research, lead enrichment and database building
  • Campaign creation and management: Email sequence writing, LinkedIn campaign setup, A/B testing, deliverability optimisation
  • Reply handling: Monitoring and responding to prospect replies within agreed timeframes, lead qualification, meeting booking
  • Analytics and reporting: Real-time campaign dashboards, weekly performance reports, pipeline tracking
  • Automation workflows: Custom n8n automation schemas for reply handling, meeting booking, lead enrichment and notifications
  • GTM Engineering (where applicable): Custom data pipeline architecture, bespoke signal tracking infrastructure, full system delivery

The specific services applicable to each Client are defined in the service proposal, pricing plan or order confirmation accepted by the Client at the time of purchase.

4. Service Plans and Pricing

4.1 Subscription plans

Subscription services are billed monthly in advance. The monthly fee is confirmed at the time of purchase and may be subject to revision with thirty (30) days written notice.

Current subscription plans:

  • Cold Outreach DFY: Monthly subscription for done-for-you outbound campaign management
  • GTM Engineering / Revenue Engineer: Monthly subscription for full infrastructure build and campaign management

4.2 Performance-based plans

  • Pay-per-meeting: Client is charged a fixed fee per qualified meeting delivered, plus a one-time setup fee charged in Month 1 only. A "qualified meeting" is defined as a calendar-confirmed video or phone call with a prospect matching the agreed Ideal Customer Profile (ICP), who holds budget authority and decision-making power relevant to the Client's offer.
  • Pay-per-infrastructure: Custom pricing agreed in writing prior to commencement.

4.3 Free infrastructure offer

WebsiteHub.io may offer a free infrastructure setup as a lead generation tool. This free offer includes basic domain and email configuration only and does not include campaign management, reply handling or meeting delivery. WebsiteHub.io reserves the right to withdraw, modify or decommission free infrastructure at any time with seven (7) days notice.

4.4 Pricing changes

WebsiteHub.io reserves the right to adjust pricing for new subscriptions at any time. Existing active subscriptions will not be subject to price increases without thirty (30) days advance written notice.

5. Payment Terms

5.1 Payment methods

All payments are processed through Stripe. Accepted payment methods include major credit and debit cards and bank transfer where agreed in writing.

5.2 Subscription billing

Subscription fees are charged automatically on the same date each month. The first charge occurs on the date of purchase or the agreed service start date.

5.3 Performance billing

For pay-per-meeting plans, invoices are issued at the end of each calendar month covering all qualified meetings delivered during that month. Payment is due within fifteen (15) days of invoice date.

5.4 Setup fees

Setup fees where applicable are charged in Month 1 only and are non-refundable regardless of subsequent meeting volume.

5.5 Late payment

Invoices unpaid after the due date may incur a late payment penalty of 1.5% per month on the outstanding balance, in accordance with French commercial law (Article L441-6 of the Code de commerce). WebsiteHub.io reserves the right to suspend services for accounts with outstanding unpaid invoices of more than fifteen (15) days.

All prices are quoted and invoiced in EUR (Euro) or USD (US Dollar) as agreed at the time of purchase. Exchange rate fluctuations are the Client's responsibility.

6. Guarantee Conditions

6.1 Meeting delivery guarantee

WebsiteHub.io offers a meeting delivery guarantee on eligible subscription plans as follows:

  • Cold Outreach DFY plan: If WebsiteHub.io fails to deliver a minimum of five (5) qualified meetings within the first calendar month of active campaign operation, the following month's subscription fee will be waived in full.
  • GTM Engineering plan: If WebsiteHub.io fails to deliver a minimum of ten (10) qualified meetings by the end of Month 4 of active service, Month 5 will be provided at no charge.

6.2 Definition of a qualified meeting

A "qualified meeting" is defined as a calendar-confirmed call or video meeting with a prospect who:

  • Holds a relevant decision-making or budget authority role within their organisation
  • Matches the Ideal Customer Profile (ICP) agreed upon during the kickoff call
  • Has confirmed the meeting via calendar invitation
  • Has not previously been in the Client's CRM or sales pipeline at the time of outreach

Meetings that are cancelled, rescheduled more than twice, or where the prospect does not attend without prior notice are not counted toward the guarantee threshold.

6.3 Guarantee conditions and exclusions

The guarantee applies only when:

  • The Client has completed the kickoff call within five (5) business days of service start
  • The Client has reviewed and approved email copy within the agreed review window (typically 48–72 hours)
  • The Client's offer, pricing and target market are commercially viable as assessed during the strategy call
  • The Client has provided accurate and complete information regarding their ICP, value proposition and target market
  • The Client has not requested significant changes to the agreed campaign strategy mid-campaign without mutual written agreement

The guarantee does not apply if campaign performance is materially impacted by Client-side factors including but not limited to: failure to respond to qualified meeting requests, inaccurate ICP definition provided by the Client, or requests to target markets outside the agreed scope.

6.4 Guarantee remedy

The guarantee remedy is limited to one (1) free month of service. It does not entitle the Client to a cash refund, credit against future services, or any other form of compensation beyond the free service month.

6.5 Pay-per-meeting performance

For pay-per-meeting plans, the Client pays only for meetings delivered. No meeting delivery guarantee applies beyond this pay-for-performance structure. The setup fee is non-refundable regardless of subsequent meeting volume.

7. Intellectual Property and Asset Ownership

7.1 Assets built for the Client

Upon full payment of all outstanding invoices, the following assets created specifically for the Client during the service engagement become the property of the Client:

  • Custom data scrapers and automation scripts built for the Client's specific use case
  • n8n workflow schemas and automation configurations
  • Email sequences, copy and messaging frameworks created for the Client's campaigns
  • Lead lists, contact databases and enrichment data generated during the engagement
  • Analytics dashboards and reporting infrastructure built for the Client
  • Domain names registered in the Client's name (Client is responsible for domain renewal costs)

7.2 Assets remaining with WebsiteHub.io

The following remain the exclusive intellectual property of WebsiteHub.io regardless of payment status:

  • Proprietary methodologies, frameworks and processes used to deliver services
  • General-purpose tools, templates and systems not built exclusively for the Client
  • WebsiteHub.io's brand, website, marketing materials and trade name
  • Any know-how, expertise or processes developed independently of the Client engagement

7.3 Transfer conditions

Asset transfer occurs only upon:

  • Written request from the Client
  • Full payment of all outstanding invoices
  • The Client providing appropriate technical infrastructure to receive transferred assets (e.g. GitHub repository access, database credentials)

WebsiteHub.io will not withhold asset transfer for any reason other than outstanding payment obligations.

7.4 Third-party tools and licences

Some services are delivered using third-party tools (including but not limited to email sending platforms, LinkedIn automation tools, data enrichment services). Licences for these tools are held by WebsiteHub.io and do not transfer to the Client. Clients wishing to continue using these platforms independently after service termination are responsible for establishing their own accounts and licences.

8. Data Protection and GDPR

8.1 Applicable law

WebsiteHub.io processes personal data in accordance with Regulation (EU) 2016/679 (General Data Protection Regulation — GDPR) and applicable French data protection law (Loi Informatique et Libertés).

8.2 Data processed on behalf of the Client

In the course of providing outbound lead generation services, WebsiteHub.io processes personal data of third-party prospects on behalf of the Client. In this context, WebsiteHub.io acts as a data processor and the Client acts as data controller.

The Client is solely responsible for ensuring that outbound prospecting activities directed at identified individuals comply with applicable data protection laws in the target jurisdiction, including but not limited to GDPR Article 6 legitimate interest basis for B2B prospecting.

8.3 Client data

WebsiteHub.io collects and processes the following Client data for service delivery and billing purposes:

  • Name, company name and contact details
  • Payment information (processed securely by payment processor — not stored by WebsiteHub.io)
  • Communication records (emails, strategy call notes)
  • Campaign performance data

Client data is retained for the duration of the service engagement and for a period of five (5) years thereafter for accounting and legal compliance purposes, in accordance with French law.

8.4 Data processing agreement

Clients requiring a formal Data Processing Agreement (DPA) in accordance with GDPR Article 28 may request one in writing. WebsiteHub.io will provide a DPA within ten (10) business days of request.

8.5 Data security

WebsiteHub.io implements appropriate technical and organisational measures to protect personal data against unauthorised access, loss or destruction. In the event of a personal data breach affecting the Client's data, WebsiteHub.io will notify the Client without undue delay and no later than seventy-two (72) hours after becoming aware of the breach.

8.6 Rights of data subjects

Clients and their employees may exercise their rights under GDPR (access, rectification, erasure, portability, restriction, objection) by contacting contact@websitehub.io. WebsiteHub.io will respond within thirty (30) days.

9. Cancellation and Termination

9.1 Client cancellation — subscription plans

The Client may cancel any subscription plan at any time with no minimum notice period required. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused days within a billing period.

Cancellation must be communicated in writing via email to contact@websitehub.io.

9.2 Client cancellation — performance plans

Pay-per-meeting engagements may be terminated at any time in writing. The Client remains liable for payment of all qualified meetings delivered prior to the cancellation date. The setup fee is non-refundable.

9.3 WebsiteHub.io termination

WebsiteHub.io reserves the right to terminate any service engagement immediately and without refund in the following circumstances:

  • The Client provides false, misleading or fraudulent information
  • The Client requests activities that violate applicable law, including anti-spam legislation (CAN-SPAM, CASL, GDPR) or platform terms of service
  • The Client's conduct is abusive, threatening or harmful to WebsiteHub.io or third parties
  • Outstanding invoices remain unpaid for more than thirty (30) days

9.4 Effect of termination

Upon termination of any service engagement, WebsiteHub.io will:

  • Cease all outbound campaigns within two (2) business days
  • Transfer all Client-owned assets (subject to clause 7) within ten (10) business days of full payment
  • Provide a final performance report covering the completed engagement period

9.5 Survival

Clauses relating to intellectual property (clause 7), data protection (clause 8), limitation of liability (clause 10), confidentiality (clause 11) and governing law (clause 12) survive termination of the service engagement.

10. Limitation of Liability

10.1 No guarantee of business results

WebsiteHub.io guarantees the delivery of qualified meetings as defined in clause 6. WebsiteHub.io does not guarantee and accepts no liability for:

  • The conversion of delivered meetings into sales, contracts or revenue
  • The Client's sales team's ability to close delivered meetings
  • Market conditions, competitive dynamics or factors outside WebsiteHub.io's control that affect campaign performance
  • Reply rates, open rates or click rates beyond the meeting delivery guarantee threshold

10.2 Limitation of financial liability

To the maximum extent permitted by applicable law, WebsiteHub.io's total liability to the Client for any claim arising from or related to the services, whether in contract, tort (including negligence) or otherwise, shall not exceed the total fees paid by the Client to WebsiteHub.io in the three (3) months preceding the event giving rise to the claim.

10.3 Exclusion of indirect losses

WebsiteHub.io shall not be liable for any indirect, consequential, special or punitive damages, including but not limited to loss of profit, loss of revenue, loss of business, loss of data or reputational damage, even if advised of the possibility of such damages.

10.4 Auto-entrepreneur limitation

As a French auto-entrepreneur, WebsiteHub.io's professional liability is personal and unlimited under French law. The limitations in clauses 10.2 and 10.3 are contractual and may not apply in all jurisdictions. Clients are advised to seek independent legal advice regarding enforceability in their jurisdiction.

10.5 Force majeure

WebsiteHub.io shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to: platform outages (email providers, LinkedIn, third-party tools), changes in platform policies or algorithms, acts of God, government actions, or internet infrastructure failures.

11. Confidentiality

11.1 Mutual confidentiality

Both parties agree to keep confidential all non-public information received from the other party in connection with the services ("Confidential Information"), including but not limited to: business strategies, customer lists, pricing, technical systems and campaign performance data.

11.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was already known to the receiving party prior to disclosure
  • Is received from a third party without restriction
  • Is required to be disclosed by law or court order (with prior written notice to the other party where legally permissible)

11.3 Duration

Confidentiality obligations survive termination of the service engagement for a period of three (3) years.

11.4 Testimonials and case studies

WebsiteHub.io may request the Client's permission to use anonymised or attributed campaign results as testimonials or case studies. The Client's consent is required in writing before any identifying information is published. Performance metrics may be referenced in anonymised form without prior consent.

12. Representations and Warranties

12.1 Client representations

The Client represents and warrants that:

  • It has full legal authority to enter into this agreement
  • Its product, service or offer is legal and compliant with applicable regulations in its target market
  • All information provided to WebsiteHub.io regarding its ICP, offer and target market is accurate and complete
  • It will not use WebsiteHub.io's services to promote illegal, fraudulent or harmful products or services
  • It complies with all applicable anti-spam laws (including CAN-SPAM, CASL and GDPR) in connection with its outbound activities

12.2 WebsiteHub.io representations

WebsiteHub.io represents and warrants that:

  • It has the skills and expertise to deliver the agreed services
  • All campaign activities will be conducted in good faith and in accordance with industry best practices
  • It will not knowingly violate applicable laws in the delivery of services

13. Governing Law and Dispute Resolution

13.1 Governing law

These Terms and any dispute arising from or related to them shall be governed by and construed in accordance with French law, without regard to its conflict of law provisions.

13.2 Amicable resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. Either party may initiate this process by sending a written notice describing the dispute to the other party. Both parties agree to negotiate in good faith for a period of thirty (30) days before pursuing formal proceedings.

13.3 Mediation

If amicable resolution fails, either party may refer the dispute to a French commercial mediator agreed upon by both parties before initiating formal legal proceedings.

13.4 Jurisdiction

In the absence of amicable resolution or mediation, disputes shall be subject to the exclusive jurisdiction of the competent courts of Saint-Germain-en-Laye, France, unless mandatory law in the Client's jurisdiction requires otherwise.

13.5 Language

These Terms are written in English. In the event of any conflict between an English version and any translation, the English version shall prevail.

14. Miscellaneous

14.1 Entire agreement

These Terms, together with any service proposal, pricing plan or order confirmation accepted by the Client, constitute the entire agreement between the parties with respect to the services and supersede all prior negotiations, representations or agreements.

14.2 Amendments

No amendment to these Terms shall be valid unless made in writing and agreed by both parties. WebsiteHub.io may update these Terms unilaterally for future engagements with thirty (30) days advance notice.

14.3 Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable by a competent court, the remaining provisions shall continue in full force and effect.

14.4 Waiver

Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce such provision in the future.

14.5 Assignment

The Client may not assign its rights or obligations under these Terms without the prior written consent of WebsiteHub.io. WebsiteHub.io may assign its rights and obligations to a successor entity in the event of a business transfer or restructuring.

14.6 Notices

All formal notices under these Terms must be sent in writing to the email addresses provided at the time of purchase. Notices are deemed received within twenty-four (24) hours of sending for email communications.

14.7 Independent contractor

WebsiteHub.io is an independent contractor and nothing in these Terms creates any employment, partnership, joint venture or agency relationship between the parties.
